Trading foreign exchange (Forex), contracts for difference (CFDs), and other leveraged financial instruments involves substantial risk of loss and is not suitable for all investors. You should carefully consider whether trading is appropriate for you in light of your financial situation. Please read these terms in their entirety.

1. Agreement to Terms

By accessing or using the Hedger platform, software, Expert Advisors (EAs), and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, customers, and others who access or use the Service. The Service is operated by Hedger ("we," "us," or "our").

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

2. Description of Service

Hedger provides:

  • Trade Copier Software: Expert Advisors (EAs) for MetaTrader 5 that copy trades between accounts (Master and Slave)
  • License Management: Software licensing and account binding services
  • Dashboard Access: Web-based dashboard for monitoring and managing your trading slots
  • Educational Content: Optional courses and materials related to trading strategies

The Service is a software tool only. We do not provide trading signals, investment advice, asset management, or broker services.

3. NO FINANCIAL OR INVESTMENT ADVICE

HEDGER IS NOT A FINANCIAL ADVISOR, INVESTMENT ADVISOR, BROKER, OR DEALER.

Nothing contained in or provided through the Service constitutes:

  • Financial advice
  • Investment advice
  • Tax advice
  • Legal advice
  • A recommendation to buy, sell, or hold any financial instrument
  • An offer to buy or sell securities or any other financial product

All content provided through the Service, including educational materials, is for informational and educational purposes only. You should consult with qualified professionals (financial advisors, accountants, lawyers) before making any financial decisions.

4. Risk Disclosure & No Guarantee of Profit

HIGH RISK WARNING

Trading forex and CFDs carries a high level of risk and may not be suitable for all investors. You could lose some or all of your invested capital. Before deciding to trade, you should carefully consider your investment objectives, level of experience, and risk appetite.

  • LOSS OF CAPITAL: You may lose all money you invest. Never trade with money you cannot afford to lose.
  • LEVERAGE RISK: Forex and CFD trading involves leverage, which can magnify both gains and losses.
  • MARKET RISK: Markets can be volatile and unpredictable. No software can predict market movements.
  • TECHNICAL RISK: Software may malfunction, have bugs, or experience connectivity issues that could result in losses.
  • PROP FIRM RISK: Prop firm evaluation rules vary and may change. There is no guarantee of passing evaluations or receiving funded accounts.
  • SLIPPAGE & EXECUTION: Trade execution depends on broker conditions, market liquidity, and network connectivity. Actual results may differ from expected results.

BY USING THIS SERVICE, YOU ACKNOWLEDGE THAT:

  • Trading involves substantial risk of loss
  • You are solely responsible for your trading decisions
  • You have read and understood this risk disclosure
  • You have the financial ability to bear the risks involved
  • Hedger is not responsible for any losses you may incur

5. Software Provided "As-Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • THAT DEFECTS WILL BE CORRECTED
  • THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

We do not warrant or guarantee:

  • That the software will meet your specific requirements
  • That trade copying will be instantaneous or without delay
  • The accuracy, reliability, or completeness of any information
  • Compatibility with all broker platforms or configurations
  • Continuous, uninterrupted access to the Service

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL HEDGER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE
  • DAMAGES RESULTING FROM ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS
  • DAMAGES RESULTING FROM ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE
  • DAMAGES RESULTING FROM ANY BUGS, VIRUSES, OR SIMILAR ISSUES TRANSMITTED THROUGH THE SERVICE
  • DAMAGES RESULTING FROM ANY ERRORS OR OMISSIONS IN ANY CONTENT
  • ANY TRADING LOSSES OR DAMAGES WHATSOEVER

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

AGGREGATE LIABILITY CAP: Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

7. User Responsibilities

As a user of the Service, you agree to:

  • Understand the Risks: Fully understand and accept all risks associated with forex/CFD trading before using the Service
  • Make Independent Decisions: Make your own independent trading and investment decisions
  • Secure Your Accounts: Maintain the security of your account credentials, API keys, and trading accounts
  • Comply with Laws: Ensure your use of the Service complies with all applicable laws and regulations in your jurisdiction
  • Broker Compliance: Comply with your broker's terms of service and trading rules
  • Prop Firm Rules: Understand and comply with any prop firm rules if using the Service for prop firm evaluations
  • Monitor Your Trades: Actively monitor your trading accounts and the software's operation
  • Report Issues: Promptly report any software issues, bugs, or suspicious activity
  • Not Reverse Engineer: Not attempt to reverse engineer, decompile, or disassemble the software
  • Not Redistribute: Not redistribute, resell, or share your license with others

8. Subscription, Payments & Refunds

Subscription Fees: Access to the Service requires payment of subscription fees as displayed on our pricing page. Fees are charged in cryptocurrency (USDC/USDT) on supported networks.

Payment Terms:

  • Subscriptions are billed monthly in advance
  • Payments are non-refundable except as required by law
  • You are responsible for ensuring sufficient funds for payment
  • We may change pricing with 30 days' notice

Refund Policy: Due to the nature of digital software services, all sales are final. Refunds may be considered on a case-by-case basis at our sole discretion, typically only for documented technical issues that prevent the software from functioning and that we are unable to resolve.

License Binding: Each license is bound to a specific broker account number. License transfers require support ticket approval and may incur additional fees.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • You must stop using the software and remove it from your systems
  • We may delete your account and associated data
  • No refunds will be provided for unused subscription periods

All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Hedger and its licensors. The Service is protected by copyright, trademark, and other laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal trading activities only, subject to these Terms.

You may not:

  • Copy, modify, or distribute the software
  • Reverse engineer or decompile the software
  • Use the Service to develop competing products
  • Remove or alter any proprietary notices

11. Indemnification

You agree to defend, indemnify, and hold harmless Hedger and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including any copyright, property, or privacy right
  • Any claim that your use of the Service caused damage to a third party
  • Your trading activities and any resulting losses

This defense and indemnification obligation will survive these Terms and your use of the Service.

12. Governing Law & Disputes

These Terms shall be governed and construed in accordance with applicable laws, without regard to conflict of law provisions.

Dispute Resolution: Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
